Terms of Service

These Terms of Service (“Terms”) are an agreement between you and JEP GLOBAL LLC (“Neosocios”, “we”, “us”). They govern your use of:

  • our website, neosocios.com;
  • the Neosocios Platform at app.neosocios.com (the “Platform”);
  • our short links on neosoc.io and on the domains our clients connect to the Platform.

Together we call all of these the “Services”. By using the Services, you accept these Terms. If you use them on behalf of a company, you confirm that you can accept these Terms in its name, and “you” also means that company.

How we handle personal data is explained in our Privacy Policy, which is part of these Terms.

1. Who can use the Services

  • The Platform is for businesses and professionals. You must be at least 18 years old.
  • Access is by invitation only. An administrator of your organization decides who joins it and what each person can see and do.
  • Keep your password private and tell us right away at info@neosocios.com if you think someone used your account without permission. You are responsible for what happens in your account.
  • Administrators are responsible for the people they invite and the roles they give them.

2. What the Platform does

The Platform gives your organization tools to work on its marketing. Depending on what is turned on for your organization, these include:

  • content research based on public Instagram data;
  • advertising performance reports;
  • task and content management;
  • link and UTM tools.

The tools available to each organization are agreed with Neosocios. We may improve, change or retire features. If we remove a feature that is important for your organization, we will tell you in advance when we reasonably can.

3. Our services and fees

The marketing, advertising and tracking services we provide to your business are described in the proposal or agreement you accept with us. That document sets the scope, fees, billing and cancellation terms. If it contradicts these Terms, the proposal or agreement prevails for those services.

4. Connecting Facebook, Instagram and ad accounts

  • You may connect only accounts, Pages and ad accounts that you own or are authorized to connect.
  • Our access is read-only: we can see, but not change anything. The Platform never publishes, edits, deletes or sends anything on Facebook or Instagram, and it never manages ads.
  • You can disconnect at any time, as explained on our data deletion page.
  • When you connect or use those accounts, you must also follow Meta’s terms and policies, including the Meta Terms of Service, the Instagram Terms of Use and Meta’s commercial terms.
  • The features that depend on Meta work only while Meta keeps offering them. Meta can change, limit or end its products and APIs at any time, and that may change or stop parts of the Platform. We are not responsible for those changes.

Facebook and Instagram are trademarks of Meta Platforms, Inc. Neosocios is not affiliated with Meta, and Meta does not sponsor or endorse it.

5. Content of other creators

The content research tools show public content of other Instagram professional accounts so your team can study what works and get ideas. That content belongs to its creators:

  • Seeing it in the Platform does not give you any right to copy, republish or use it.
  • You are responsible for making sure that what you create and publish respects the copyrights, trademarks and other rights of others.
  • Figures and labels the Platform calculates from public data, such as rankings or a label that says a post might be paid promotion, are estimates for research. They may be incomplete or inexact.

6. Acceptable use

You agree not to:

  • use the Services for anything illegal, fraudulent or harmful;
  • infringe the rights of others, or upload content you have no right to use;
  • try to access data of other organizations, or get around our security or usage limits;
  • copy, scrape, reverse engineer or resell the Platform or access to it;
  • upload viruses or malicious code, or overload the Services;
  • use the Services to send spam, harass people, or track, profile or discriminate against individuals;
  • use the Services in a way that breaks Meta’s terms or policies.

We may remove content or limit access if we reasonably believe someone breaks these rules.

7. Your content and data

  • You keep ownership of the content and data your organization brings into the Platform.
  • You give us permission to host, copy, process and display it only as needed to provide the Services to you, as described in our Privacy Policy. This permission ends when the content is deleted. Backups may keep it a while longer, until they are replaced by new ones.
  • You are responsible for having the rights and permissions to the content and data you bring into the Platform.
  • If you send us suggestions or feedback, we may use them to improve the Services without owing you anything in return.

8. AI features

Some features use artificial intelligence to write summaries and drafts. AI can make mistakes:

  • Review the results before you rely on them or share them.
  • Decisions about your business and your advertising are yours.
  • We do not use your data to train AI models.

9. Our property

The Platform, its software, design, and the Neosocios name and brand belong to JEP GLOBAL LLC. While you are allowed to use the Platform, we give you a limited, non-exclusive, non-transferable right to use it for your organization’s internal business. This right ends when your access ends. These Terms do not give you any other right over our property.

10. Confidentiality

Each of us will protect the non-public information the other shares in connection with the Services, and use it only to provide or receive them. This does not apply to information that is already public, that the other party already had, or that the law requires to be disclosed.

11. Availability

We work to keep the Services available and secure, but we cannot guarantee they will always work without interruptions or errors. We may pause them for maintenance or to protect their security.

12. Suspension and termination

  • You can stop using the Services at any time. Ending a paid service follows what your proposal or agreement says.

  • We may suspend or end your access if:

    • you break these Terms;
    • your use creates a security or legal risk;
    • the law or Meta requires it;
    • your organization’s contract with us ends.

    When it is reasonable, we will tell you first so you can fix the problem.

  • When access ends, the right to use the Platform ends. What happens to your data is explained in our Privacy Policy and on our data deletion page.

Sections 5, 7, 9, 10, 13, 14, 15 and 16 continue to apply after access ends.

13. No guaranteed results

Marketing results depend on many factors outside our control, such as your product, your prices, the market and the advertising platforms. We do not guarantee specific results, such as sales, revenue or advertising performance, unless a written agreement with us says so.

The Services are provided “as is” and “as available”. To the extent the law allows, we disclaim all implied warranties, such as merchantability, fitness for a particular purpose and non-infringement.

14. Limitation of liability

To the extent the law allows:

  • We are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data.
  • Our total liability for any claim related to the Services is limited to the amounts you paid us for the Services in the 12 months before the event that caused the claim.

These limits do not apply where the law does not allow them, such as in cases of fraud or willful misconduct.

15. Your responsibility to us

You agree to defend and compensate Neosocios for claims by third parties and related losses and costs, including reasonable legal fees, that arise from:

  • the content and data you bring into the Services;
  • your breach of these Terms or of Meta’s terms;
  • your violation of the rights of others.

16. Governing law and disputes

These Terms are governed by the laws of the United States and of the state where JEP GLOBAL LLC is organized, without regard to conflict-of-law rules. If a dispute arises, write to us first: we will try in good faith to solve it informally before either of us goes to court. Nothing in these Terms takes away rights that the consumer or data protection laws of your country give you and that cannot be waived.

17. Changes to these Terms

When we change these Terms, we update the date at the top of this page. If the change is important, we also let Platform users know by email or inside the app before it takes effect. If you keep using the Services after that, you accept the new Terms.

18. General

  • These Terms, the Privacy Policy and any proposal or agreement you accept with us are the whole agreement about the Services.
  • If a part of these Terms cannot be enforced, the rest still applies.
  • If we do not enforce a right at some point, we do not give it up.
  • You may not transfer these Terms to someone else without our written consent. We may transfer them as part of a merger, acquisition or sale of our business.
